1. Introduction
These Terms of Service ("Terms") govern your access to and use of the PartsYard software-as-a-service platform ("Service") operated by [OPERATOR LEGAL NAME] ("we", "us", or "our"). By creating an account or using the Service you agree to be bound by these Terms.
2. Accounts
You must be at least 18 years old and a business operator or authorised representative to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any suspected unauthorised access.
3. Acceptable use
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) upload or transmit malicious code; (c) attempt to gain unauthorised access to any part of the Service or its related systems; (d) resell or sublicense the Service without our written consent; or (e) use the Service in a way that could damage, disable or impair it.
4. Subscription & billing
Access to the Service is provided on a subscription basis. Fees are billed in advance on a monthly or annual cycle as selected at sign-up. All prices are shown excluding VAT; VAT will be added at the prevailing UK rate. We reserve the right to change prices on reasonable notice. Failure to pay may result in suspension of your account.
5. Data
You retain ownership of all data you upload to the Service. We process your data as described in our Privacy Policy and in accordance with UK GDPR. You may export your data at any time, and in the event of account closure we will provide a reasonable export window before deletion.
6. Liability
To the fullest extent permitted by law, our total liability to you for any claim arising from or related to these Terms or the Service shall not exceed the total fees paid by you in the twelve months preceding the claim. We exclude all liability for indirect, consequential, or incidental loss. Nothing in these Terms limits liability for death or personal injury caused by negligence or for fraudulent misrepresentation.
7. Changes to these Terms
We may update these Terms from time to time. We will notify you of material changes by email or by prominent notice within the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
